游泳馆承包经营合同(中英文)

乙方:承包方Party B: Contractor
第一条 承包项目 The Item of Contract
本合同约定承包经营的游泳馆座落在 ,游泳馆建筑面积约3895平方米(含所有附属用房,以本合同所附甲方加盖公章的平面图为准)。
The swimming pool being contracted for management herein is located at , with the construction area is about 3895 square meters including all ancillary buildings, subject to the plan with party A’s official seal.
第二条 承包经营期限 The Term limited of Contracting Management
游泳馆的承包经营期限为9年,自 起至 止,期满后在同等条件下乙方可以优先续签。
The term limited of contracting management of swimming pool is nine (9) years from to . On the expiration Party B shall have priority to renew this contract under the same condition and terms.
第三条 租金交付 The Payment of Rent
游泳馆承包经营期间,前三年免缴租金,乙方从 起开始向甲方缴纳租金,每年缴纳租金15万元。租金于每年 月 日之前一次性缴清。(上述承包经营期以实际交付日期为准)
The first three years within the term limited hereof will be free of rent. The rent shall be paid by party B from at the annual rent of $ 150,000 which being made in a lump sum on or before . (The above term of contracting operations will be subject to the actual delivery date)
第四条 甲方的责任和义务The responsibilities and obligations of Party A
1、负责游泳馆及附属用房的水、电、通讯、空调和水加温等设施配套到位并安装好计量表(附资产明细表)。
Responsible for the installation of compounded equipments such as water, electricity, communications, air conditioning, water heating facilities and the measure meters in swimming pool and ancillary building.
2、运行二个月内,确保游泳馆及附属用房的房屋及设备正常运作。
Within the two months of operation of management party A shall ensure the normal operation of buildings of swimming pool, ancillary houses and equipments.
3、积极鼓励和协调各中小学校开设游泳课,把游泳馆建成学生的教育活动基地。
Encourage and coordinate actively setting up swimming lessons in schools and enable the swimming pool as the educational activities beyond school.
4、本合同期限届满或终止,在结清全部租金、各项费用和可能发生的滞纳金、违约金、赔偿金后一个月内,将履约保证金返还乙方(不计利息或补偿)。
The performance bond will be returned to Party B without interest or other compensation within one month after the settlement of all rent, fees and maybe late fees, liquidated damages and compensations upon the expiration or termination of the term of this contract.
第五条 乙方的责任和义务 Responsibilities and Obligations of Party B
1、在承包经营过程中必须遵守国家有关法律法规,做到依法经营,自觉接受相关职能部门的监督管理,维护游泳馆的对外形象。在承包经营过程中不得转包和改变游泳馆及附属用房的体育功能。
Party B should, duration of contracting, comply with the relevant laws and regulations of State and do operation in accordance with laws, accept consciously the supervision and management of the authority departments and maintain the reputation of the swimming pool. The transfer contracting of and/ or change of the sports function of pool and ancillary houses therewith shall be under prohibition.
2、承包经营游泳馆及附属用房的一切经济、法律和安全的责任均由乙方承担,所涉的税收、规费等亦由乙方负责缴纳。
The liabilities and responsibilities of any and all economic, legal and security related to contracting management of swimming pool and ancillary spaces and all tax and fees shall be responsible for the payment by Party B.
3、承包经营游泳馆及附属用房期间,必须有明确的救生安全等责任措施,对游泳馆工作人员和顾客的安全负全责。
Party B should, In the term of contracting, made specific measures related to lifesaving and security and taken any and all responsibilities of the safety of staffs and clients.
4、承包经营游泳馆及附属用房期间,承担游泳馆及附属用房设备的保养、维修、管理和运行的所有费用并按规定及时支付。
Party B should, In the term of contracting, born all fees relating to the maintain, repair, management and operation of swimming pool and ancillary spaces and effect in time the payment thereof.
5、承包经营期间,游泳馆每年开放时间不少于240天(含白天与晚上),每年根据甲方需要,向甲方无偿提供使用游泳馆12天(含白天与晚上);
In the term of contracting the opening period of swimming poop shall not less than 240 days (including day and night) each year and be offered in free to Party A ‘s using for 12 days (including day and night) each year.
6、对学生训练应积级配合并做好各方面的服务工作,费用给予优惠,具体收费标准,甲乙双方另行协商并报县物价局核准。对老年人、残疾人应按规定给予优惠。
The services of active cooperation of training and favorable charge shall be given to students, the scheme of fees thereof shall be negotiated separately by parties hereto and applied to approve of the County Price Bureau. The favorable fee shall be give to the elderly and disable person in accordance of the regulations thereon.
7、本合同签订后三十日内,即向甲方支付履约保证金人民币十万元,该保证金可用于清偿可能积欠甲方的租金、各项费用、滞纳金、违约金、赔偿金等。
Party B should ,within 30 days upon signature of this contract, pay the security deposit of One Hundred thousand Yuan to Party A for the satisfaction of any sum of owed rent, fees of each item, late fee, breach fine and compensation.
8、本合同期限届满或终止,须将承租的游泳馆及附属用房按可经营现状完好地交还甲方(其中乙方投入的不动产归甲方无偿所有,可动产归乙方处置)。
Party B should, upon the expiration or termination of this contract, deliver tenanted swimming pool and ancillary space under the status in quo of operation to Party A among which real estate invested by Party B shall be owned by Party A in free and movable property under the disposal of Party B.
第六条 违约责任:Responsibility of Breach
1、甲方无故干扰乙方正常营业,造成乙方较大损失的,视为甲方违约,乙方有权终止本合同,并可按照合同法追究甲方的经济责任。
If, Party A’s interference without reason to Party B’s normal business and material loss occurred therein, shall be deemed as Party A’s breach, for which Party B in entitle to terminate the contract and impose any liability upon the economic liability of Party A.
2、有下列情形之一的视为乙方违约,乙方应承担相应的违约责任,甲方有权终止本合同并没收履约保证金。
Party B shall be deemed as breach of agreement if in any of the following circumstances and assume corresponding liability to which Party A is entitle to terminate the contract and forfeiture of performance bond.
(1)乙方不支付租金或者延期支付租金达三十天以上的;
Party B fails to effect the payment of rent more than 30 days.
(2)乙方所欠费用累计达五万元以上的;
Accumulative sum owed by Party B is more than five thousand Yuan.
(3)未经甲方同意,乙方将游泳馆及附属用房转包给第三者(包括与他人合伙经营)的;
Without the consent of Party A , Party B subcontract the swimming pool and ancillary space to the third party include partnership with other.
(4)乙方擅自改变游泳馆及附属用房的用途或房屋结构的;
Party B change without authorization of party A the purpose of the swimming pool and ancillary space or structure of house.
(5)乙方在承包经营中进行违法活动或损害公共利益的。
Party B to carry out illegal activities in the contract operation or damage to the public interest.
第七条 本合同因下列情况可终止:
Termination under the following circumstances:
1、一方违约,另一方可按本合同的规定终止合同;
If a party defaults, the other party may terminate the contract in accordance with the provisions of the contract;
2、双方协商一致同意终止合同;
Parties hereto agree to terminate this contract through consensus;
3、因法定不可抗力的情况发生;Due to the statutory force majeure ;
4、因法律法规政策规定的原因,导致本合同无法继续履行。
Due to laws and regulations, policies and regulations, this contract can not be continue to fulfill.
除上述第1项外,甲、乙双方均不承担合同终止的责任。
Except 1 item provision above party A and B shall assume no liability related to the termination to opposite party.
第八条 本合同签订之日,双方应出具详细的资产明细表。
Article VIII. Parties hereto shall present the Schedule of Assets on the day of signature
第九条 乙方返还游泳馆及附属用房的时间,为本合同期限届满后的壹个月内。
Article IX The time limited of return of the swimming pool and ancillary space shall be within one month after expiry of the term of lease.
第十条 本合同履行过程中如发生争议,由双方当事人协商解决,协商不成的可依法向当地人民法院起诉。
Any dispute arise in the performance of this contract shall be settled by negotiation, if fail to settle by negotiation any party may appeal to the local court.
第十一条 本合同未尽事项,经双方协商另行签订补充合同,补充合同与本合同具有同等法律效力。
For other matter related to the performance, the supplementary agreement may be made through negotiation and have the same legal effect.
第十五条 本合同一式陆份,甲、乙双方各执三份,经双方代表签字盖章后即行生效。
This contract is in sextuplicate copies and party A and B shall take three copies with same legal effect upon the signature and seals by the representatives of the parties hereto.
